By using or accessing StageWing.com, StageWingApp.com, a subdomain of either website, any mobile application for either website, or any other website operated by us on which these Terms and Conditions are posted via a link or otherwise (each referred to herein as the "Site"), you acknowledge and agree that you are subject to the following Terms and Conditions, as well as our Privacy Policy, which also governs your use of the Site and is incorporated by reference. These Terms and Conditions and the Privacy Policy are collectively referred to as the "Terms."

You are responsible for reading these Terms carefully, as they contain important information about limitations of liability and resolution of disputes through arbitration rather than court. If you do not fully agree to these Terms and any other terms and conditions posted or linked to a Site, you are not authorized to access or otherwise use the Site.

You are not authorized to use this Site unless you are at least 18 years of age and able to enter into legally binding contracts. We do not knowingly collect the information of anyone under the age of 18.

1. This is a Marketplace Site. StageWing is Not a Party to Any Rental Agreement or Other Transaction Between Users.

StageWing provides an online marketplace to allow equipment owners who advertise on the Site (each, a "Provider") to offer equipment for rent to potential renters (each, a "Renter" and, collectively with a Provider, the "Users" or "Members"). We urge all users to be responsible about their use of this Site and any transaction entered into as a result of either listing or renting equipment.

StageWing does not own or manage, nor can we contract for, any equipment listed on the Site. We also may offer online booking or other tools or services to allow users to communicate with each other and enter into rental agreements or other transactions.

StageWing is not a party to any rental or other agreement between users. This is true even if the Site allows you to book a rental or provides other ancillary products or services. Any part of an actual or potential transaction between a Renter and a Provider — including the quality, condition, safety or legality of the equipment advertised, the truth or accuracy of the listings, the ability of Providers to rent equipment, or the ability of Renters to contract for equipment — is solely the responsibility of each user.

Users agree that they are responsible for, and agree to abide by, all laws, rules, and regulations applicable to their use of the Site and any transaction they enter into on the Site. Providers further agree that they are responsible for and agree to abide by all laws, rules, ordinances, or regulations applicable to the listing of their rental equipment and the conduct of their rental business, including but not limited to taxes, credit cards, data and privacy, permits, and license requirements.

While we take certain measures to assist users in avoiding potentially fraudulent or illegal activity of which we become aware, we assume no liability or obligation to take any such measures or actions.

2. Limited License to Use the Site

Users are granted a limited, revocable, non-exclusive license to access the Site and the content and services provided on the Site solely for the purpose of advertising equipment, searching for equipment, purchasing or researching products or services offered on the Site, participating in an interactive area hosted on the Site, or for any other purpose clearly stated on the Site — all in accordance with these Terms. Any use of the Site that is not for one of these purposes or otherwise in accordance with the Terms or as otherwise authorized by us in writing is expressly prohibited.

3. Unauthorized Uses of the Site

The license to use the Site only extends to the uses expressly described herein and does not include any right of collection, aggregation, copying, scraping, duplication, display, or any derivative use of the Site, nor any right of use of data mining, robots, spiders, or similar data gathering and extraction tools without our prior written permission.

Unauthorized uses of the Site include, but are not limited to:

Any commercial use of the Site or any content on the Site, other than by Providers in good standing
Copying, reproducing, uploading, posting, displaying, republishing, distributing, or transmitting any part of the content in any form
Reproducing any portion of the Site on your website using any device, including framing techniques
Deep-linking to any portion of the Site without our express written permission
Modifying, translating, or creating derivative works from any content or any part of the Site
Reverse engineering any part of the Site
Selling, offering for sale, transferring, or licensing any portion of the Site to any third party
Using the Site to post or transmit false, fraudulent, or misleading information, or taking any action that may be considered phishing or that would give rise to criminal or civil liability
Posting or transmitting any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, indecent, inflammatory, sexually explicit, or pornographic material
Violating, plagiarizing, or infringing the rights of us or third parties, including copyright, trademark, patent, trade secrets, rights of publicity or privacy, or any other intellectual or proprietary rights
Using or accessing the Site in any way that adversely affects or could adversely affect the performance or function of the Site or any other system used by us

4. Proprietary Rights and Downloading of Information from the Site

The Site and all content and information on the Site are protected by copyright under applicable U.S. and international copyright laws and database rights. Users agree to abide by all copyright notices, information, or restrictions contained in or relating to any content on the Site.

Users may not copy, store, or otherwise access the Site or any content on the Site other than for personal, noncommercial use without prior written permission from StageWing. As part of the rental inquiry or reservation process, for your own personal, noncommercial use only, users may download, display, and/or print one copy of any portion of the Site. Users may not modify the same and must reproduce our copyright notice in the form displayed on the relevant portion(s) of the Site.

5. Identity Verification

StageWing uses Veriff, a trusted third-party identity verification service, to verify user identities before account access is granted on the Site. By creating an account, you agree to participate in this verification process and to provide accurate, complete, and current identification information as required.

While we require identity verification through Veriff, we encourage you to also take reasonable additional measures to assure yourself of the identity of the person with whom you are communicating, and for Renters, of the equipment and relevant details of your booking or proposed booking.

You agree to:

Keep your password and online ID for both your StageWing account and your email account secure and strictly confidential, providing access only to authorized users
Notify us immediately if you believe your password or account credentials may have been compromised or accessed by an unauthorized person
Notify us immediately if you are contacted by anyone requesting your online ID and password

Important: StageWing will not have any liability to any user for any unauthorized transaction made using the user's ID or password. The unauthorized use of your online ID and password could cause you to incur liability to both StageWing and other users. StageWing may suspend or cancel your account at any time without notice if we suspect unauthorized or fraudulent use.

6. Your Email Address and Data; Privacy Policy

When you provide your email address, name, or other information to StageWing in connection with your use of the Site or any service or tool provided on the Site, you agree to allow the Site and its affiliated websites to add your email address, name, or other information to our database of users. You may receive one or more promotional emails from the Site and are welcome to opt out at any time. Please review our Privacy Policy at https://www.stagewingapp.com/privacypolicy for more information regarding our data collection practices and how to opt out.

7. Limitations on Communications and Use of Other Users' Information; No Spam

You agree that, with respect to other users' personal information that you obtain directly or indirectly from or through the Site, we have granted you a license to use such information only for: (i) Site-related communications that are not unsolicited commercial messages, (ii) using services offered through the Site, and (iii) inquiring about or facilitating a financial transaction between you and the other user related to the purpose of the Site. Any other purpose will require express permission from the other user(s).

You must give users an opportunity to remove their information from your records and a chance to review what information you have collected about them. Under no circumstances may you disclose personal information about another user to any third party without the consent of the other user.

StageWing will not tolerate spam or unsolicited commercial electronic communications of any kind. You are not licensed to add a Site user to your mailing list without the user's express consent, and you may not use any tool or service on the Site to send spam or unsolicited commercial communications.

8. SMS / Text Messaging

StageWing operates an SMS messaging program to communicate with customers and community members. By providing your phone number and opting in, you consent to receive text messages from StageWing, including account notifications, delivery updates, customer support messages, and promotional offers.

Opt-In: You may opt in by submitting your phone number through our website contact or booking form, or by texting START to our business number
Message Frequency: Message frequency varies based on your account activity and preferences
Opt-Out: You may opt out at any time by replying STOP to any message. You will receive one final confirmation and no further messages will be sent
Help: Reply HELP at any time for assistance, or contact us at rentals@stagewing.com
Message & Data Rates: Message and data rates may apply depending on your mobile carrier and plan

Mobile opt-in and SMS consent information is never shared with any third party for any purpose.

9. Responsibility for Equipment Listings, Reviews, and User-Contributed Content

StageWing has no duty to pre-screen content posted on the Site by Providers, Renters, or other users, including equipment listings, reviews, participation in interactive communities, or any other user-contributed content. We are not responsible for user-contributed content.

We reserve the right to decline to permit the posting of or to remove from the Site any user-contributed content that fails to meet our Content Guidelines or otherwise violates these Terms. At a minimum, user-contributed content must:

Not infringe anyone's rights, including but not limited to copyright, rights of publicity and privacy, or violate the law
Not include personal information of another that can be used to identify or contact any person without consent
Not include unsolicited promotional content, advertising, political campaigns, contests, raffles, or solicitations
Be directly related to the Site, business service, product, or forum where the content is submitted
Not be obscene, abusive, discriminatory, or illegal
Not be false or misleading

All equipment listings on the Site are the sole responsibility of the Providers, and StageWing specifically disclaims any and all liability arising from the alleged accuracy of listings, reviews, or any alleged breaches of contract by any users. Members are solely responsible for keeping their equipment information up-to-date on the Site.

By submitting or authorizing user-contributed content, you grant to us and our affiliates a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty-free and fully paid-up license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit, and otherwise exploit the content in connection with our business. You further grant us the ability to register copyright in and protect user-contributed content from unauthorized use by unaffiliated third parties.

10. Service Fee Payable by Renters

We charge a service fee payable by Renters who book equipment on the Site via the Site checkout. The service fee covers the use of the Site, including features such as 24/7 user support, and is calculated as a variable percentage of the total reservation amount. The exact service fee charged will be displayed to Renters at the time of booking. The service fee will only be refunded in the event a Provider accepts cancellation of the Renter's reservation and refunds the entire rental amount.

Members agree not to encourage or advise a Renter to avoid or circumvent the service fee charged by StageWing.

11. Accounts, Membership & Eligibility

To use our services, you must be at least 18 years of age, have the legal authority to enter into a binding agreement, provide accurate and complete information when creating an account or submitting a booking request, and not be prohibited from using our services under any applicable law.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. StageWing reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or harmful behavior.

12. Equipment Rentals & Bookings

All equipment rentals are subject to availability and confirmation by StageWing or the applicable Provider. Renters are responsible for the safe handling, use, and return of all rented equipment. Any damage, loss, or theft of equipment during a rental period may result in additional charges. Cancellations and modifications to bookings must be made in accordance with the cancellation policy communicated at the time of booking.

13. Wingmate (Provider) Responsibilities

Wingmates who list equipment on the StageWing platform agree to:

Provide accurate descriptions, pricing, and availability for all listed equipment
Ensure all equipment is in safe, functional working condition prior to each rental
Honor confirmed bookings in a timely and professional manner
Comply with all applicable local, state, and federal laws related to equipment rental and business operations
Obtain and maintain appropriate insurance coverage sufficient to cover the rental of equipment listed on the Site before renting to their first Renter, and maintain adequate coverage through the end of each rental period
Provide copies of relevant proof of insurance coverage upon request by StageWing

14. Online Booking & Payment Terms

Users and Providers who use StageWing marketplace software and Stripe payment processing software, or any other tool provided by us or a third party on the Site enabling users to book and/or pay for equipment rentals (collectively, the "Equipment Rental Services"), are bound by the following terms in addition to any other applicable terms.

We provide Equipment Rental Services to manage inquiries, quotes, and rental agreements and to allow for payments to be made relating to rentals. By utilizing a rental agreement as part of the Equipment Rental Services, the Renter and Provider each agree to the terms and conditions set forth in the rental agreement effective as of the date that the user indicates acceptance of the booking.

You hereby acknowledge and agree that: (i) you are fully responsible for such terms and conditions; (ii) any rental agreement used is done solely at your own risk and expense; (iii) nothing contained in the Equipment Rental Services or these Terms is a substitute for the advice of an attorney; and (iv) you have been advised to obtain local legal counsel to prepare, review, and revise rental agreements as necessary to ensure compliance with applicable law.

All payments are due at the time of booking unless otherwise agreed in writing. StageWing uses Stripe, a third-party payment processor, to handle transactions securely. By submitting payment information, you agree to the terms of the applicable payment processor. All fees are stated in U.S. dollars.

15. Social Media and Third-Party Websites

If the Site offers a tool or service that allows us to access or use any profile or other information about you that you have provided to Facebook or another third-party website (each a "Social Media Site") and you decide to use such tool or service, you acknowledge that the information or content designated as "public" on your Social Media Site profile will be considered user-generated content under these Terms.

We are not responsible in any way for such third-party sites or resources, and your use of such sites and resources will not be governed by these Terms. The operation of your profile and account on any Social Media Site shall continue to be governed by the terms and conditions and privacy policy of such Social Media Site.

16. Software and Export Controls

The Site is controlled and operated by StageWing. Software available on the Site is subject to United States export controls. No Software available on the Site may be downloaded or otherwise exported or re-exported into any country to which the United States has embargoed goods, or to anyone on the United States Treasury Department's list of Specially Designated Nationals or the United States Commerce Department's Table of Deny Orders.

All Software is the copyrighted work of StageWing or an identified third party. We hereby grant you a limited, personal, and nontransferable license to use the Software for viewing and using this Site in accordance with these Terms and for no other purpose.

17. Payments & Fees

Payment for equipment rentals and services is due at the time of booking unless otherwise agreed in writing. StageWing uses third-party payment processors to handle transactions securely. By submitting payment information, you agree to the terms of the applicable payment processor. All fees are stated in U.S. dollars. StageWing reserves the right to update pricing at any time. Price changes will not affect confirmed bookings.

18. Feedback

StageWing welcomes your feedback regarding many areas of our business, including this Site. However, we reserve no obligation to change our business model or policies in response to such feedback. We assume no obligation to keep any feedback you provide confidential and reserve the right to use or disclose such information in any manner.

19. Intellectual Property

All content on the StageWing platform and website, including logos, text, graphics, and software, is the property of Swing Productions, Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use any of our content without prior written permission.

20. Disclaimer of Warranties

THE SITE, INCLUDING ALL CONTENT, SOFTWARE, FUNCTIONS, MATERIALS, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE SITE, IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER FOR THE CONTENT ON THE SITE OR THE MATERIALS, INFORMATION AND FUNCTIONS MADE ACCESSIBLE BY THE SOFTWARE USED ON OR ACCESSED THROUGH THE SITE, FOR ANY PRODUCTS OR SERVICES OR HYPERTEXT LINKS TO THIRD PARTIES OR FOR ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION THROUGH THE SITE OR ANY LINKED SITE, EVEN IF WE BECOME AWARE OF ANY SUCH BREACHES.

FURTHER, WE EXPRESSLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED ON THE SITE OR ANY MATERIALS OR CONTENT CONTAINED THEREIN WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ACKNOWLEDGE AND AGREE THAT ANY TRANSMISSION TO AND FROM THIS SITE IS NOT CONFIDENTIAL AND YOUR COMMUNICATIONS OR USER-CONTRIBUTED CONTENT MAY BE READ OR INTERCEPTED BY OTHERS. YOU FURTHER ACKNOWLEDGE AND AGREE THAT WE ARE NOT A PARTY TO ANY RENTAL TRANSACTION OR OTHER TRANSACTION BETWEEN USERS OF THE SITE.

21. Limitation of Liability

IN NO EVENT WILL STAGEWING, ITS AFFILIATES, OFFICERS, DIRECTORS, CONSULTANTS, AGENTS AND/OR EMPLOYEES, OR ANY THIRD-PARTY PROVIDER OF A SERVICE OR TOOL OFFERED ON ANY SITE, BE LIABLE FOR ANY LOST PROFITS OR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM (A) OUR SITE, (B) THESE TERMS, (C) ANY BREACH OF THESE TERMS BY YOU OR A THIRD PARTY, (D) USE OF THE SITE, TOOLS OR SERVICES WE PROVIDE, (E) ANY USER-CONTRIBUTED CONTENT, (F) INTERACTION BETWEEN OUR SITE AND ANY THIRD-PARTY SITE, OR (G) ANY ACTUAL OR ATTEMPTED COMMUNICATION OR TRANSACTION, INCLUDING WITHOUT LIMITATION ANY PAYMENT TRANSACTION BETWEEN USERS, IN EACH CASE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOU ARE DISSATISFIED WITH THE SITE, YOU DO NOT AGREE WITH ANY PART OF THE TERMS, OR HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST US, YOUR SOLE AND EXCLUSIVE REMEDY AGAINST US IS TO DISCONTINUE USING THE SITE. IN ALL EVENTS, OUR LIABILITY TO YOU OR ANY THIRD PARTY IN ANY CIRCUMSTANCE ARISING OUT OF OR IN CONNECTION WITH THE SITE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE TWELVE MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (B) $100.00 IN THE AGGREGATE FOR ALL CLAIMS.

22. Release; Indemnification

IN THE EVENT THAT YOU HAVE A DISPUTE WITH ONE OR MORE OTHER USERS OF THE SITE OR ANY THIRD-PARTY PROVIDER OR ANY THIRD-PARTY WEBSITE THAT MAY BE LINKED TO OR FROM OR OTHERWISE INTERACT WITH THE SITE, YOU HEREBY AGREE TO RELEASE, REMISE AND FOREVER DISCHARGE EACH MEMBER OF STAGEWING, EACH OF THEIR RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, AND ALL OTHER RELATED PERSONS OR ENTITIES FROM ANY AND ALL MANNER OF RIGHTS, CLAIMS, COMPLAINTS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE WHATSOEVER, WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER ARISE FROM, RELATE TO, OR ARE CONNECTED WITH SUCH DISPUTE AND/OR YOUR USE OF THE SITE.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."

You hereby agree to indemnify, defend, and hold StageWing and its officers, employees, and agents harmless from and against any and all liability and costs incurred in connection with any claim arising out of your use of the Site, any content posted by you or on your behalf, any use of any tool or service provided by a third party, or any breach by you of these Terms, including attorneys' fees and costs. You shall cooperate as fully as reasonably required in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

23. Disputes; Arbitration

StageWing is committed to customer satisfaction. If you have a problem or dispute, we will try to resolve your concerns. You agree to give us an opportunity to resolve any disputes or claims relating in any way to the Site, any services or products provided, and any representations made by us, or under our Privacy Policy ("Claims") by contacting rentals@stagewing.com. If we are not able to resolve your Claims within 60 days, you may seek relief through arbitration or in small claims court, as set forth below.

Any and all Claims will be resolved by binding arbitration, rather than in court, except you may assert Claims on an individual basis in small claims court if they qualify. This includes any Claims you assert against us, our subsidiaries, users, or any companies offering products or services through us. This also includes any Claims that arose before you accepted these Terms, regardless of whether prior versions of the Terms required arbitration.

Arbitrations will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA Arbitration Consumer Rules. Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. You may choose to have an arbitration conducted by telephone or based on written submissions.

Any and all proceedings to resolve Claims will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a Claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. The Federal Arbitration Act and federal arbitration law apply to these Terms.

The AAA's rules and filing instructions are available at www.adr.org or by calling 1-800-778-7879. An arbitration decision may be confirmed by any court with competent jurisdiction.

24. Children's Privacy

Our Service does not address anyone under the age of 18. We do not knowingly collect personally identifiable information from anyone under the age of 18. If you are a parent or guardian and believe your child has provided us with Personal Data, please contact us at rentals@stagewing.com. If we become aware that we have collected Personal Data from a child without verification of parental consent, we will take immediate steps to remove that information from our servers.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms that are not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Fulton County, Georgia.

26. Changes to These Terms

StageWing reserves the right to update or modify these Terms at any time, with the exception of the Disputes; Arbitration section, which is governed by the version in effect on the date you last accepted the Terms. When we make changes, we will revise the "Last Updated" date at the top of this page and, where appropriate, notify you via email or a prominent notice on our Service prior to the change becoming effective. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
